Terms of Service

    1. Acceptance of Terms

    By accessing or using the services provided by Tenolt ("we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our services. These Terms apply to all visitors, users, and others who access or use our services.

    2. Description of Services

    Tenolt provides comprehensive IT consulting and software development services, including but not limited to:

    • Web Application Development
    • Mobile Application Development
    • Cloud & DevOps Solutions
    • AI & Data Analytics Solutions
    • UI/UX Design Services
    • Enterprise Software Development
    • Cybersecurity Services (Penetration Testing, Security Audits)
    • Performance Testing & Optimization

    3. Project Engagement

    3.1 Project Scope

    All projects will be governed by a separate Statement of Work (SOW) or project agreement that outlines specific deliverables, timelines, milestones, and costs. The SOW will be agreed upon in writing before project commencement.

    3.2 Changes to Scope

    Any changes to the agreed project scope must be documented through a formal change request process. Additional work outside the original scope may result in additional charges and timeline adjustments.

    4. Payment Terms

    • Payment terms will be specified in the project agreement or invoice
    • We typically require milestone-based payments for fixed-price projects
    • For time-and-materials engagements, invoices are issued monthly
    • All payments are due within 15 days of invoice date unless otherwise agreed
    • Late payments may incur interest at 1.5% per month
    • We reserve the right to suspend services for overdue accounts

    5. Intellectual Property Rights

    5.1 Client Ownership

    Upon full payment, all custom code, designs, and deliverables created specifically for your project become your property. You will receive complete source code, documentation, and all related assets.

    5.2 Pre-existing Materials

    Tenolt retains ownership of pre-existing frameworks, libraries, tools, and methodologies used in the project. You are granted a non-exclusive license to use these materials as part of your deliverables.

    5.3 Third-Party Components

    Projects may incorporate open-source or third-party components, which remain subject to their respective licenses. We will document all third-party dependencies in project documentation.

    6. Confidentiality

    Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business strategies, technical specifications, source code, customer data, and any information marked as confidential. This obligation survives the termination of any agreement for a period of three (3) years.

    7. Warranties and Disclaimers

    7.1 Service Warranty

    We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day warranty period after project completion for bug fixes related to the agreed specifications.

    7.2 Disclaimer

    EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

    8. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENOLT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU FOR THE SERVICES GIVING RISE TO THE CLAIM.

    9. Termination

    Either party may terminate a project agreement with 30 days written notice. In case of termination:

    • You will be responsible for payment for all work completed up to the termination date
    • We will deliver all work completed and in-progress upon receipt of outstanding payments
    • Any prepaid fees for unperformed services will be refunded on a pro-rata basis

    10. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in India.
